Quali cambiamenti per la governance bancaria nella transizione ecologica (What changes for banking governance in the ecological transition)

The work aims to focus on the changes in banking governance caused by the ecological transition. Inparticular, the purpose of the article is to understand the impact deriving from the environmental, socialand governance criteria (so-called "ESG") on the organizational structures of banking companies. Indetail, the article intends to figure out the changes regarding the composition of the board in the lightof the fact that the directors should have expertise in the field of ESG criteria.

Il contributo mira ad analizzare i cambiamenti della governance bancaria determinati dalla transizioneecologica. In particolare, lo scopo dell'indagine è quello di comprendere l'impatto derivante dai criteriambientali, sociali e di governance (c.d. “ESG”) sugli assetti organizzativi delle società bancarie. Inparticolare, l'articolo intende approfondire le novità riguardanti la composizione del consiglio diamministrazione delle imprese bancarie alla luce del fatto che gli amministratori dovrebbero averecompetenze in materia di criteri ESG.
